Terms of Service

1. Acceptance and Eligibility
1.1 NoteD! ("the App", "the Service", "we") is provided by [PLACEHOLDER: full legal business name and registered address].
1.2 By downloading, registering for, or using the App, you confirm that you have read, understood, and agree to these Terms of Service.
1.3 You must be at least 13 years old to use the Service; if you are under 18, you may only use it with a parent's or guardian's consent.
1.4 If you do not agree to these terms, please do not use the Service.

2. Description of Service
NoteD! lets you record meeting audio; transcribe, summarize, extract action items from, and turn it into a mind map using AI (OpenAI Whisper and GPT models); chat with your meeting notes; organize meetings into folders; sync with Google Calendar; and share your summaries with others via in-app sharing or email.

3. Free and Paid Services
3.1 The Service is currently entirely free, subject to a reasonable monthly recording limit (shown in-app).
3.2 We plan to offer a paid subscription in the future, unlocking additional features/limits via in-app purchase. These terms will be updated and you will be notified before paid services launch; pricing, auto-renewal, and cancellation terms will be finalized at that time.
3.3 Pricing and limits may be updated without prior notice; you will be notified in-app of material changes affecting your current free usage.

4. Account Registration and Security
4.1 Most features require registering with an email address or Google account.
4.2 You are responsible for keeping your account information accurate and your password confidential. You are responsible for all activity under your account.
4.3 Please notify us at support@notedapp.com if you suspect unauthorized use of your account.

5. License and Usage Restrictions
5.1 We grant you a non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.
5.2 Without our express written consent, you may not: reverse-engineer or attempt to extract the source code of the Service; copy, reproduce, distribute, sublicense, rent, or sell the Service or any part of it; access the Service through automated data-collection methods (scraping, bots).

6. Recording Consent - Your Responsibility
6.1 Before recording any meeting, it is entirely your responsibility to obtain the necessary consent from ALL participants in that meeting.
6.2 Many jurisdictions (including several U.S. states) require all-party consent, and recording without it may be unlawful. NoteD! does not monitor the legality of your recordings and accepts no liability - this risk is entirely yours.

7. User Content
7.1 The audio you record, and the transcripts, summaries, and mind maps generated from it ("Your Content"), belong to you; you retain ownership.
7.2 You grant us a limited, non-exclusive license to process Your Content as needed to provide the Service (transcription, summarization, storage, displaying it to people you share it with).
7.3 We do NOT use Your Content for advertising or marketing, and we do NOT grant OpenAI additional permission to train its models on it (see Privacy Policy, section 3).
7.4 You are responsible for ensuring Your Content complies with the law and these terms; we reserve the right to remove content that is clearly unlawful or violates these terms.

8. Prohibited Uses
You may not use the Service to: create content that is unlawful, threatening, harassing, or that infringes others' rights (including intellectual property or privacy); interfere with or disrupt the Service or other users; distribute malware; transfer your account to another person.

9. Third-Party Services
We rely on the following trusted subprocessors to provide the Service: OpenAI for transcription and summarization; Cloudflare for file storage; Resend for email notifications; Google for sign-in and calendar integration. These providers are subject to their own terms and privacy policies; NoteD! is not responsible for their actions.

10. Termination and Account Deletion
10.1 You may request permanent deletion of your account and all associated data at any time via the Settings screen.
10.2 We may suspend or terminate your access if we have reasonable grounds to believe you have violated these terms.

11. Cancellation and Refunds
The Service is currently free, so no refund policy applies yet. Once a paid subscription launches, cancellation and refund terms (subject to the App Store's/Google Play's own policies) will be added here and communicated to you.

12. Limitation of Liability and Warranties
12.1 The Service is provided "as is" and "as available," with no guarantee of uninterrupted or error-free operation.
12.2 AI-generated transcripts, summaries, and mind maps are not guaranteed to be accurate or complete - refer to the original recording for important decisions.
12.3 To the maximum extent permitted by law, NoteD! shall not be liable for indirect, incidental, or consequential damages arising from your use or inability to use the Service.

13. Changes
These terms may be updated periodically. You will be notified in-app of material changes; continued use of the Service after such changes constitutes acceptance of the updated terms.

14. Governing Law
